We are a company incorporated and established in HongKong,China. We have no branch, office or permanent establishment in the United Kingdom, European Economic Area, United States or any other overseas jurisdiction. We act solely as your purchasing agent and intermediary in China. We are not a manufacturer, seller, exporter or importer of the goods.

“Client” means the business entity (you) submitting sourcing enquiries, accepting quotations, issuing instructions and placing orders through our service. By submitting an enquiry, accepting our written quotation, paying a deposit or proceeding with an order, the Client agrees to be bound by these Terms. If you do not accept these Terms, you must not use our services. This agreement is for B2B commercial transactions only and does not apply to consumer purchases.

1. Definitions

  • Goods: Products, components, packaging, labels and samples that the Client instructs us to source from Chinese suppliers.
  • Customised Goods: Goods made according to Client’s unique specifications, drawings, logos, colour, moulds, packaging or other exclusive requirements, which cannot be resold to any other third-party buyer.
  • Supplier: Factories, traders or vendors based in China who manufacture and supply the Goods.
  • Agency Fee: Our service charge for sourcing, negotiation, order tracking, QC arrangement, consolidation and document coordination.
  • Quotation: Our written offer sent via email or official communication channels, including supplier unit price, agency fee, sample cost, mould cost, estimated lead time, inspection cost and freight estimate.
  • QC Inspection: Sampling quality check arranged per the Client’s written requirements.
  • Incoterms: Incoterms 2020 published by the International Chamber of Commerce.
  • Force Majeure: Unforeseeable events beyond reasonable control of either party.

2. Scope of Service & Agent Status (Core Clause)

Our services include, as agreed in each quotation:

  • Supplier searching, screening and background verification
  • Price and commercial term negotiation on the Client’s behalf
  • Sample application, sample delivery and sample confirmation coordination
  • Issuing purchase instructions to the Supplier under the Client’s approval
  • Production progress follow-up
  • Arrangement of third-party or in-house quality inspection
  • Goods collection, warehouse consolidation and repacking coordination
  • Coordination with freight forwarders and assistance with shipping documents
  • Translation, communication and order updates between Client and Supplier

We expressly confirm:

  • We do not manufacture the Goods.
  • We never take legal ownership or title of the Goods.
  • We are not the seller of the Goods.
  • The sales contract for the Goods is concluded directly between the Client and the Supplier.
  • We do not guarantee the Supplier’s performance, product quality, certification, delivery time or compliance with destination-country regulations.
  • We will use reasonable commercial efforts to assist the Client to negotiate and resolve disputes with Suppliers, but we do not assume primary liability for Supplier breaches.

3. Quotation, Validity and Order Confirmation

3.1 Unless otherwise stated in writing, each quotation is valid for 7 calendar days from the date of issue. After expiry, raw material prices, labour cost, freight and supplier terms may change, and we reserve the right to issue a revised quotation.

3.2 A binding order is only formed when (1) the Client accepts the quotation in writing; and (2) the required deposit has been cleared and received by us or the Supplier.

3.3 Any changes after order confirmation (specification, quantity, colour, packaging, logo, inspection standard, labelling) must be submitted by the Client in writing and agreed in writing by the Supplier and us. Changes may lead to price adjustments and extended lead times. We are not responsible for delays caused by the Client’s late modification requests.

3.4 It is the Client’s sole responsibility to provide all required specifications, approved samples, drawings, test standards and destination-country compliance requirements before mass production starts. If the Client fails to provide such requirements, we and the Supplier shall not be liable for goods being detained, rejected or non-compliant at the destination.

4. Payment Terms

4.1 Payment schedule for each order will be clearly stated in the quotation.

4.2 All bank transfer charges, intermediary bank fees and currency conversion fees shall be borne by the Client.

4.3 We or the Supplier will not commence production, sample making or shipment until cleared payment is received.

4.4 If the Client delays balance payment after QC approval, goods may be stored at the Client’s risk. All warehouse fees, demurrage and holding costs will be charged to the Client. If payment remains overdue for more than 30 calendar days, the Supplier may cancel production and forfeit the deposit per the Supplier’s policy.

4.5 We do not operate a regulated escrow service unless a separate written escrow agreement is signed.

5. Samples, Moulds, Tooling & Customised Goods

5.1 Sample cost and sample courier freight are quoted separately. Sample freight is normally payable by the Client.

5.2 Ownership of moulds and tooling is subject to the separate written agreement between the Client and the Supplier. We only relay this arrangement and do not guarantee the transfer of mould ownership.

5.3 Approved samples are for reference only. Minor reasonable tolerances in mass production shall be acceptable unless the signed sample is explicitly marked as the strict production standard.

5.4 Customised Goods Non-Refundable Rule: Where the Goods are Customised Goods (produced according to the Client’s exclusive specifications, logo, artwork, mould or unique requirements), once production has commenced, no cancellation, refund or reimbursement will be accepted for any reason, unless the Supplier fails to meet the agreed written specification or quality standard. Customised Goods are specially made for the Client only and cannot be resold, reused or liquidated to any other buyer. The Client acknowledges this characteristic before placing the order.

6. Quality Inspection

6.1 Inspection items, AQL standard and checking scope must be confirmed in writing by the Client before inspection.

6.2 QC inspection is sampling inspection, not 100% full inspection of every unit. A passing QC report means the sampled batch meets the agreed standard; it does not guarantee zero defects for the whole shipment.

6.3 If the QC report fails, we will share photos, videos and the inspection report. The Client may choose rework and re-inspection (re-inspection fees and rework costs apply), partial shipment, or order cancellation subject to the Supplier’s consent.

6.4 If the Client waives QC inspection in writing, the Client accepts the goods “as-is”, and we exclude all liability for quality defects discovered after shipment.

7. Shipment, Risk Transfer and Import Compliance

7.1 The applicable Incoterm is specified in the quotation. Risk of loss, damage or theft of the Goods transfers to the Client at the risk transfer point defined by the agreed Incoterm.

7.2 Freight, cargo insurance, destination import duty, VAT, customs clearance fees, port charges and local inspection fees at the destination are the Client’s responsibility, unless clearly included in the quotation.

7.3 We may introduce or coordinate freight forwarders for convenience, but the shipping contract is between the Client and the forwarder. We are not liable for shipping delays, cargo loss, customs seizure or import refusal.

7.4 The Client is solely responsible for verifying that the Goods satisfy all import laws, safety standards, certification, marking, labelling and tariff rules of the destination country or region.

8. Intellectual Property

8.1 The Client warrants that all drawings, logos, brand artwork, trademarks and designs provided to us and the Supplier do not infringe any third-party intellectual property rights. The Client shall fully indemnify us and the Supplier for all losses, fines and legal costs arising from IP claims related to materials supplied by the Client.

8.2 We will not use the Client’s confidential designs for third parties without written consent. Separate NDAs should be signed directly between the Client and the Supplier if strict supplier confidentiality is required.

9. Confidentiality

We keep the Client’s sourcing requirements, order details, pricing and supplier information confidential and will not disclose such information to unrelated third parties. We may share necessary data with Suppliers, QC providers, forwarders, payment service providers or government authorities only to fulfil the order or meet legal requirements. This confidentiality obligation survives order completion for 24 months.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

10.1 Our total aggregate liability to the Client arising out of or related to these Terms and the relevant order, whether in contract, negligence or tort, is capped at the total Agency Fees actually paid by the Client to us for that specific order.

10.2 We shall not be liable for any indirect or consequential loss, including but not limited to lost profit, lost sales, business interruption, loss of contracts, penalty claims from the Client’s downstream buyers, air freight upgrade cost or reputational harm.

10.3 This limitation shall not apply to liability that cannot be excluded by mandatory law, such as fraud, wilful misconduct or personal injury.

10.4 We are not liable for Supplier defaults including production delay, defective goods, wrong materials, non-conformity, refusal to refund or rework. Our obligation is limited to reasonable assistance with communication and negotiation.

11. Indemnity

The Client agrees to indemnify, defend and hold us, our staff and subcontractors harmless against all claims, damages, fines and legal expenses caused by:

  • Incorrect specifications, drawings or instructions provided by the Client;
  • Failure of the Client to comply with destination-country import and product safety regulations;
  • IP infringement from the Client’s brand, logo or artwork;
  • Failure by the Client to make payment when due;
  • Resale of Goods without required certification or approval.

12. Termination

12.1 An unshipped order may only be cancelled by mutual written consent. If the Supplier refuses cancellation, the Client remains bound by the Supplier’s terms.

12.2 We may suspend or terminate service immediately if the Client fails to pay, provides false information, or requests goods that violate sanctions, export control or mandatory safety laws.

12.3 Termination does not release the Client from paying for work, samples, moulds, QC or freight already completed or arranged. Clauses relating to liability, IP, confidentiality, governing law and dispute resolution survive termination.

13. Force Majeure

Neither party is liable for delay or non-performance caused by Force Majeure events, including natural disasters, fire, flood, pandemic control, factory lockdown, port strikes, carrier suspension, export restrictions, government orders, raw material shortages or power cuts. If a Force Majeure event continues for more than 30 calendar days, either party may cancel the pending order by written notice without penalty, subject to the Supplier’s position on materials already purchased.

14. Sanctions Compliance

The Client warrants that it is not listed on any international sanctions list and that the Goods will not be diverted to sanctioned jurisdictions or prohibited end uses. We reserve the right to reject any enquiry or order with sanctions risk.

15. Data Protection

Processing of the Client’s personal information is governed exclusively by our separate Global Privacy Policy published on the Website. These Terms only regulate commercial agency obligations.

16. Governing Law and Dispute Resolution

16.1 These Terms are governed by the laws of the People’s Republic of China (excluding Hong Kong, Macao and Taiwan). The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

16.2 In the event of a dispute, both parties shall first attempt friendly negotiation within 30 days after a written notice of dispute.

16.3 If negotiation fails, the dispute shall be finally arbitrated by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its arbitration rules. The arbitration seat shall be [City in China]. The arbitration language shall be English. The arbitral award shall be final and binding on both parties and enforceable under the New York Convention.

17. Amendment

We may revise these Terms from time to time. The updated version will be published on the Website with a new “Last Updated” date. New orders placed after publication are subject to the revised Terms. Confirmed orders already in progress remain governed by the Terms accepted at the time of order confirmation.

18. Entire Agreement

These Terms, together with the quotation, approved specification and agreed QC standard for the relevant order, constitute the entire agreement between us and the Client. They supersede all prior oral discussions, informal chats and promises. No variation is valid unless agreed in writing by both parties.
